Corporate governance
Byggmax Group AB (publ) is a Swedish public limited liability company. Corporate governance regards the rules and regulations as well as the existing structure for managing and leading business activities in a limited company with an efficient and controlled approach. Ultimately, corporate governance aims to meet shareholder requirements in respect of return and to provide all stakeholders with adequate and correct information about the company and its development. Corporate governance in companies listed on the Swedish stock exchange is regulated by a combination of written rules and generally accepted practices. The rules and regulations comprise the Swedish Companies Act, NASDAQ OMX Nordic Exchange Stockholm’s regulations, and the Code (the applicable code for corporate governance in Sweden). Byggmax applies the Swedish Code of Corporate Governance. If companies subject to the Code deviate from the Code in any respect the underlying reasons for this must be clearly specified and explained. Any deviations from the Code by Byggmax and the underlying motivations are reported on an ongoing basis in the Corporate Governance Report. Corporate governance structure
Management and control of the Byggmax Group is allocated between shareholders at the Annual General Meeting, the Board of Directors and the President in accordance with the Swedish Companies Act and the articles of association.
